AGREEMENT TO TERMS

By accessing sodshop.com/phoenix or related platforms (collectively, the “Site”), you agree to these Terms of Use, which form a legally binding agreement between you and SodShop AZ (“we,” “us,” or “our”). If you do not agree, you must not use the Site. You must be at least 18 years old to use the Site.

We may update these Terms at any time by posting a new version with an updated “Last updated” date. Your continued use of the Site after changes means you accept the revised terms. Check this page periodically for updates.

The Site is not intended for use in jurisdictions where it would violate local laws. You are responsible for complying with applicable laws when accessing the Site from outside the United States.

INTELLECTUAL PROPERTY

The Site and its content (e.g., text, images, logos, designs) are owned or licensed by us and protected by U.S. and international copyright, trademark, and other laws. You may access and use the Site for personal, non-commercial purposes only. You may download or print content for personal use but may not copy, reproduce, distribute, or use it for commercial purposes without our written permission. All rights not expressly granted are reserved.

YOUR COMMITMENTS

By using the Site, you confirm that:

• You are at least 18 years old and have the legal capacity to agree to these Terms.
• You will use the Site only for lawful purposes and not through automated means (e.g., bots or scripts).
• All information you provide (e.g., payment or contact details) is accurate and current.

If you provide inaccurate or incomplete information, we may suspend or terminate your access to the Site.

PRODUCTS

We aim to accurately display product details (e.g., colors, features, specifications) on the Site, but we cannot guarantee accuracy due to variations in electronic displays. All products and varieties are subject to availability, and we may discontinue products at any time. Prices may change without notice. If the price you agreed to pay for a product is no longer available, you may cancel your order before we harvest it (see Purchases and Payment).

PURCHASES AND PAYMENT

We accept Visa, Mastercard, American Express, and Discover. You must provide accurate and current payment and contact information and update it as needed. All orders require full payment in advance via credit card before delivery can be scheduled. Prices may change without notice, and sales tax may apply. If the price you agreed to pay for a product is no longer available, you may cancel your order at no cost before we harvest it. Otherwise, orders cannot be canceled or changed within 72 hours of delivery, as turf-grass is custom-cut and perishable. We may correct pricing errors, refuse orders, or limit quantities at our discretion. Payments are in U.S. dollars, and shipping fees may apply (see Shipping).

ORDERS

Place orders at least 72 hours in advance to ensure your delivery date. During peak seasons, up to 7 days’ notice may be needed. Turf-grass is perishable and must be installed on the delivery day to avoid spoilage. Orders cannot be canceled or changed within 72 hours of delivery, except as noted in Purchases and Payment. If turf-grass spoils due to improper handling or delayed installation, you are responsible for payment and any reorder costs.

SHIPPING

Orders over 500 square feet within our flat-rate delivery area (see https://sodshop.com/phoenix/) qualify for free delivery. Orders under 500 square feet incur a $195 flat-rate delivery fee. Delivery personnel may use your property (e.g., driveway, yard) for unloading, and we are not responsible for any resulting damage.

RETURN POLICY

Turf-grass is perishable, so all sales are final, and no refunds are issued after delivery. You may cancel or change your order at least 72 hours before delivery, if the agreed price is no longer available (see Purchases and Payment). You must install turf-grass on the delivery day to avoid spoilage, for which you are responsible.

SITE MANAGEMENT

We may monitor the Site for violations of these Terms, take legal action against violators, restrict or remove content, or suspend access to protect our rights or ensure proper Site operation. We may also remove excessive or burdensome content at our discretion.

PRIVACY

We value your privacy. Please review our Privacy Policy at https://sodshop.com/phoenix/privacy-policy, which is part of these Terms. The Site is hosted in the United States, and by using it, you consent to your data being transferred to and processed in the U.S.

TERM AND TERMINATION

These Terms apply as long as you use the Site. We may suspend or terminate your access at any time, without notice, for any reason, including if you violate these Terms or any laws. If we terminate your access, you must not attempt to access the Site under a different name or account. We may also take legal action if needed.

MODIFICATIONS AND INTERRUPTIONS

We may change, update, or discontinue the Site or its content at any time without notice. We are not liable for any issues caused by Site downtime, maintenance, or modifications. We do not guarantee uninterrupted access to the Site.

GOVERNING LAW

These Terms and your use of the Site are governed by the laws of New Mexico, without regard to its conflict of law principles.

DISPUTE RESOLUTION

If a dispute arises, we will try to resolve it informally within 30 days of written notice from either party. If unresolved, disputes will be settled by binding arbitration in Phoenix, New Mexico, under the rules of the American Arbitration Association, with one arbitrator and English as the language. Arbitration will involve only you and us, not class actions or other combined proceedings. Exceptions include disputes about intellectual property, theft, privacy, or injunctive relief, which may be resolved in a New Mexico court.

DISCLAIMER

The Site is provided “as is” without warranties of accuracy, completeness, or fitness for a particular purpose. We are not liable for errors, interruptions, viruses, or third-party content accessed through the Site. Use the Site at your own risk and exercise caution when purchasing products.

LIMITATIONS OF LIABILITY

We are not liable for any damages (e.g., lost profits, data loss) arising from your use of the Site, except as required by law. Our total liability is limited to the amount you paid us for products purchased through the Site.

INDEMNIFICATION

You agree to defend and compensate us, our affiliates, and employees for any claims, losses, or damages (including legal fees) caused by your use of the Site, violation of these Terms, or infringement of third-party rights. We may control the defense of such claims at your expense.

USER DATA

We store and use data you provide to manage the Site, as outlined in our Privacy Policy. You are responsible for maintaining your data and acknowledge that data loss may occur despite our backup efforts. We are not liable for any data loss or corruption.

Using the Site, emailing us, or completing online forms means you consent to electronic communications. These satisfy any legal requirement for written communication.

MISCELLANEOUS

These Terms, along with our Privacy Policy, are the complete agreement between you and us. If any provision is unenforceable, the rest remain valid. We may assign our rights to others. We are not liable for issues beyond our control (e.g., natural disasters). No partnership or agency relationship exists between you and us.
